PizzaNow! End User License Agreement
Effective Date: June 1st, 2025
This Online Ordering Agreement (“Agreement”) governs the relationship between PizzaNow!, LLC (“PizzaNow!”) and the individual accessing or using the PizzaNow! service to place food orders (“Customer”).
Definitions
For purposes of this Agreement:
- “Services” means all products, services, features, functionalities, technologies, content, and materials provided by PizzaNow!, including but not limited to its mobile and web applications, application programming interfaces (APIs), software, databases, data structures, user interfaces, designs, and all related documentation, systems, and networks, whether now existing or developed in the future.
- “Restaurant” means any independent business entity that offers food for sale through the Services.
- “Customer” means any individual who uses the Services to place an order from a Restaurant.
Acceptance of Terms
By accessing or using the Services, Customer acknowledges that they have read, understood, and agree to be bound by this Agreement. If Customer does not agree, they must not use the Services.
Description of Services
PizzaNow! provides an online platform that enables Customers to order food from participating Restaurants. PizzaNow! does not prepare, fulfill, or deliver any food orders, and makes no guarantees regarding the quality, timeliness, or accuracy of any order. All food-related obligations remain solely with the Restaurant fulfilling the order.
Account Responsibility
Customer is solely responsible for all activity conducted through their account, the accuracy of any information provided, and the security of their login credentials. PizzaNow! is not liable for any unauthorized access to or use of a Customer account.
Restaurant Liability
Each participating Restaurant is an independent entity and is solely responsible for its own menu, pricing, preparation, order fulfillment, delivery, and customer service. PizzaNow! shall have no liability for any acts, omissions, or errors by any Restaurant.
Disputes and Refunds
Any disputes, complaints, or refund requests related to an order must be resolved directly between the Customer and the Restaurant. PizzaNow! does not issue refunds and is not responsible for disputed charges.
Service Availability
PizzaNow! strives to provide continuous access to the Services but does not guarantee uninterrupted availability. The Services may be temporarily suspended or unavailable due to maintenance, upgrades, or technical issues. PizzaNow! shall not be liable for any interruption, delay, or unavailability of the Services.
Acceptable Use
Customer shall not, directly or indirectly, engage in any activity that constitutes misuse of the Services, including but not limited to:
- reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code, underlying ideas, algorithms, or structure of the Services;
- accessing, scraping, harvesting, or otherwise obtaining data from the Services by automated or unauthorized means;
- using the Services for any unlawful, fraudulent, or unauthorized purpose; or
- reproducing, modifying, creating derivative works of, or otherwise exploiting the Services to develop, offer, or operate a product or service that competes with PizzaNow!.
Without limiting the foregoing, any current or future competitors in the software industry are expressly prohibited from using the Services, whether directly or through any third party, for the purpose of building, enhancing, or assisting in the creation of a competing product or service.
This section shall survive any termination or expiration of this Agreement, and PizzaNow! shall be entitled to injunctive relief in addition to any other remedies available at law or equity for any breach.
Privacy
Customer acknowledges and agrees that PizzaNow! may collect, store, process, analyze, share, sell, license, and otherwise use any data, information, content, or materials provided, generated, or transmitted through the Services, for any lawful purpose, in PizzaNow!’s sole discretion. Such use may include, without limitation, product development, analytics, marketing, advertising, research, and commercial exploitation. Customer waives any claim relating to the use of such data, except to the extent prohibited by applicable law.
Limitation of Liability
To the maximum extent permitted by law, PizzaNow! shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, arising from or related to the Services. PizzaNow!’s total aggregate liability to any Customer for any claim shall not exceed the amount actually paid by the Customer to PizzaNow! for the specific order giving rise to the claim.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws rules. Any dispute, controversy, or claim arising out of or relating to this Agreement shall be resolved exclusively by binding arbitration in the State of Wyoming, in accordance with the rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
